I'm hoping to make my 343 a fairly good and comfortable car inside, but one thing thats bugging me is that i cant think of how loud its gonna be inside.
i had a 340gl before, which was quite loud, but then found at MOT it had more holes than a MP's pocket.
Just wondering, i'm doubtful i'll need to, but would it be worth laying down a layer of underseal on the floor inside? (interiors out atm/standard sound deadening is off too)

What sort of noise are you worried about. I always found them satisfactory, but I guess if you are used to driving a more modern car it may not be so good.
The 3 series is pretty well sound insulated, but work and age will take their toll. The sound proofing often separates from the front bulkhead, some mechanic will just rip this out if its in the way. You can also have holes in the floor at this stage from sill rot.
I find the main problem is the Engine bay is not that well insulated, and what insulation was there on the bonnet tends to disintegrate, newer cars have none atall. Also of course your older mechanical components could just be making more noise than they used to. The floor has several mms of bitument type compound on the inside as well as rubber unseal on the bottom, also footwell cusions (0.5" thick with thick rubber backed sponge) on the floor on top of all this.
If all the original stuff is intact and you still aren't satisfied then I'd go for the bonnet absorber to start with.

If you've got the interior out already then it might well be a good idea to lay down some modern insulation, I'm sure it would help. Another thing while you're at it is to check the rear arches with that kind of sticky hard soundproofing around the rear shock mount, I'd take it off and check for rust as they like to rust there. Paint the untreated surface underneath and replace.

from experience ive had, the worst and most annoying 'noises' ive had out of a 300 was WIND NOISE (ooer!) running above 60 with split door seals, or ill-fitting sunroof (half a crank out to seal it tight)

Engine noise has never been an issue, and Ive always though the insulation was quite good.
Never gonna be as quiet as modern toss though.

Ah thats sweet then, i'm used to older stuff, although my 300 is gonna be the oldest car i've owned, also being a biker i'm used to it.
just wondering if it was unbearable at times.
also, no sunroof, so no problem there
and already checked the whole car, the only rust is around the rear arches, and its very minor.

Big plus not having a sunroof... my old 343 (same kinda year as yours) was remarkably quiet, although it was just a stock 1.4 4 speed. My 360 GLS also without a sunroof too is pretty good, they're not bad for their vintage if all seals are good
